2. Eligibility

You must be a licensed driver and at least 18 years old to use the Service. The Service is available for use only within the United States.

3. Account & Verification

• Sign in requires a supported identity provider (e.g., Google or Apple) via our authentication provider.
• Provide accurate information (e.g., vehicle brand/model/color; optional plate).
• You are responsible for your account activity and for maintaining device security.
• We may require additional verification for payments, payouts, or risk checks.

4. Using the Service

• The app connects a user offering a parking spot ("Giver") with a user requesting it ("Taker").
• Once a request is accepted, a temporary chat opens for coordination and closes after the reservation completes.
• Only one active reservation is allowed per user at a time.
• You must comply with all applicable laws and local parking rules. You are solely responsible for any tickets, towing, fines, or penalties.

5. Reservations & Handoffs

• Both parties confirm the handoff in-app. We may verify presence using your device location near the agreed spot (approx. 200 meters).
• If data conflicts arise, system location records may take precedence over user statements.
• After completion, users may leave feedback; the chat is then removed.

6. Wallet, Points & Cash-Out

• Wallet balances are denominated in points (100 points = $1). Points are a cash-equivalent credit inside the app and are non-transferable outside the Service.
• You may buy points (top-ups) and spend points P2P within the app.
• Cash-out requires a supported payout account (via Stripe) and is subject to minimum amounts (currently $5 gross), fees, and compliance checks.
• Purchased points may be subject to a cooldown period before eligibility for cash-out. The current period is disclosed in-app and may change from time to time.

7. Payments & Refunds

• All card payments and payouts are processed by Stripe. We do not store card or bank details on our servers.
• Refunds: We may refund a top-up payment back to the original payment methodafter a cooldown period (currently 3 days, subject to change) if you request a refund via email tocontact@parkingswap.io. Refunds may also occur when required by your card issuer (e.g., a successful chargeback).
• Fees and rates may vary and are disclosed in-app or at the time of transaction. Platform fees may be applied to cash-outs and other transactions.

8. Disputes, Fees & Adjustments

• Flat fee (50 points): If there is a mismatch, no‑show, or data conflict, the user at fault may be charged a non‑refundable 50‑point fee. Fault may be determined by factors including location verification (e.g., outside ~200 meters) or failure to confirm presence.
• We may freeze, reverse, or adjust balances to address suspected fraud, errors, or chargebacks, consistent with our risk and ledger controls.
• We may withhold or delay cash‑outs pending verification, disputes, or compliance checks.

9. Prohibited Conduct

• Illegal activity, unsafe or unlawful parking, harassment, or threats.
• GPS/location spoofing, multiple or fake accounts, fraud, or misrepresentation.
• Interfering with the Service, scraping, reverse engineering, or automated access.
• Uploading harmful code or violating others’ rights.

10. Suspension & Termination

We may suspend or terminate accounts—or ban devices—at our discretion for violations of these Terms, suspected fraud, chargebacks, abuse, or risk to the Service or other users. You may delete your account at any time. Some obligations survive termination (e.g., fee payments, dispute handling).

11. Third-Party Services

We rely on trusted providers for cloud hosting, databases, authentication, messaging, crash monitoring, and payments (Stripe). Your use of third-party services is also subject to their terms and privacy policies. We share only the minimum information necessary to operate the Service.

12. App Stores

When you download the app from Apple or Google, their terms and policies also apply. Points are not sold via in-app purchases; payments and payouts are processed by Stripe.

13. Warranty Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. We do not warrant that any parking spot will be legal, available, or safe, or that the Service will be uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of $100 or the amounts you paid to us (if any) during the six (6) months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Local Network LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

16. Governing Law, Arbitration & Venue

• Governing Law: These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules.
• Arbitration & Class-Action Waiver: Except for small-claims court matters, any dispute will be resolved by binding arbitration on an individual basis. You waive the right to participate in a class action or class arbitration. The arbitration provider and rules will be designated reasonably by us (e.g., AAA or JAMS). The seat of arbitration and venue for any non-arbitrable claims will be New York County, New York.
• Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing contact@parkingswap.iowith subject line “Arbitration Opt-Out.”

17. Changes to Service & Terms

We may modify or discontinue features at any time. We may update these Terms from time to time; material changes will be communicated with reasonable notice (e.g., seven days) in the app or on our website. Your continued use after changes become effective constitutes acceptance of the updated Terms.
